BLOC Partner Program Agreement

Purpose

The purpose of the BLOC Partner Program Agreement (“Agreement”) is to establish a mutually beneficial relationship between Barbell Logic, Inc. (“Barbell Logic”) and clients/friends of Barbell Logic for the promotion of Barbell Logic’s services.

About the BLOC Partner Program

Barbell Logic has an aspirational program to reward existing clients, staff, coaches, and PBC certificate holders for recommending our services to others. The “Partner Program” grants a unique referral URL to all Barbell Logic clients. When a new client signs up for one of our qualifying services using a referral URL, Barbell Logic, at its discretion, will pay or credit the account linked to that URL. Note that these credits and payments are made entirely at Barbell Logic’s discretion. While they are a benefit of being a Barbell Logic client, they are not part of the services that constitute consideration for membership payments or purchase of a Barbell Academy course. Barbell Logic will not make referral payments or issue credits for any memberships that are not made through a referral link, purchased by mistake resulting in a refund, or that are refunded for any reason prior to issuance of the referral payment or credit.

Referral payments and credits will be made in the month after a new member signs up with a referral link, if the conditions for a referral are met, according to the following terms.

Online Coaching Clients

All Online Coaching clients (including Group and One-on-One) are eligible for credits for successful referrals. For each person who signs up through a client’s referral link and stays through 10 days, the referring client will receive a credit equal to the cost of the referred client’s first monthly membership payment, applied toward the referring client’s next renewal payment. If the credit exceeds the referring client’s next renewal payment, the remaining balance will carry forward to future renewal payments. In cases where the referred client purchases an annual membership or makes a one-time payment, the referral credit will be calculated based on the equivalent twelve-month amortized amount of that payment. If the referred client purchases a lifetime membership, the referral credit will be equal to one month of the standard monthly payment for their membership level.

Note that promotional prices apply: If a newly referred client’s first monthly payment is a promotional amount, the referral credit will equal that promotional amount, not the standard cost of the new membership type.

If the referring client does not have a recurrent payment, such as a lifetime membership client or Academy Student, then the referral credit will be paid by check.

Academy Students (who are not also online coaching clients)

Academy Students are eligible for the same referral benefits as online coaching clients. For each person who signs up through a client’s referral link and stays through 10 days, the referring client will receive a credit equal to the cost of the referred client’s first monthly membership payment.

Where applicable, the referral credit will be applied toward the referring student’s next monthly payment. If the credit exceeds the referring client’s monthly cost, any remaining balance will carry forward to future months.

If the referring student does not have a monthly membership payment, referral credits will be paid as a check to the address on file with the Barbell Logic Academy.

Referral credits to Academy students are calculated the same way as for online coaching clients, meaning amortized amounts for one-time or annual memberships, and promotional prices apply.

Barbell Logic Staff and Coaches

If the referral signs up with the staff or coach’s link (bio page) and stays thru a full billing cycle, the referral credit is added to the staff or coach’s check after the client has paid for their second month in the following amounts:

• A $200 payment for new Exclusive Coaching memberships
• A $135 payment for new Professional Coaching memberships
• An $85 payment for new Group Coaching memberships
• A $100 payment for new Nutrition Coaching memberships
• A $50 payment for Barbell Academy’s Coaching 101 purchases

BLOC Partner Responsibilities

Maintaining BLOC Partner status and benefits means meeting the following requirements:

• You warrant that you will comply with all terms of this Agreement and the laws, rules, and regulations governing your business, website and media, and the promotion of Barbell Logic services.

Barbell Logic will not develop, operate, or maintain any content on your website or social media or linked to your website or media.

No content promoting Barbell Logic or Barbell Logic’s services, staff, coaches, or Partners, and any content related to your BLOC Partner status shall contain the following—

• content that is threatening, harassing, defamatory, obscene, harmful to minors, or that contains nudity, pornography, or sexually explicit materials
• software or technology that attempts to intercept, divert, or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website, including toolbars, browser plug-ins, extensions, and add-ons
• representations, guarantees, or other statements concerning Barbell Logic services or products, except as expressly authorized on our website
• resemblance to the look and feel of our website or media in a way that may reasonably create the impression that your website or media is endorsed by Barbell Logic or a part of the Barbell Logic website, without prior written permission from us

In addition to these restrictions, Barbell Logic prohibits posting affiliate links on Barbell Logic’s Facebook, Instagram, Twitter, or other social media pages.

Compliance with all responsibilities does not guarantee BLOC Partner status. Barbell Logic may revoke BLOC Partner status at any time and for any reason. Revocation will be in writing via email and not be preceded by a notification.

Barbell Logic’s Rights

Barbell Logic may reverse orders due to cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in this Agreement. We value clear communication, so please contact us at support@barbell-logic.com if you believe we have made a mistake. Similarly, we ask for your cooperation if we seek clarification or more information on any referrals. We may require that you validate the source of your traffic to our Program with clear and demonstrable proof. Failure to cooperate or produce the required information may result in the termination of your BLOC Partner status.

Barbell Logic does not agree to reimburse any expense you may incur in reliance on this Agreement or on your BLOC Partner status.

If you are unable to participate in or make use of any BLOC Partner benefits, Barbell Logic will not provide an alternative benefit or cash value of that benefit to you.

FTC DISCLOSURE REQUIREMENTS

Reliance and Termination

Either you or Barbell Logic may terminate this Agreement at any time and for any reason through written communication and without notice.
